Corporate Contributor Agreements
At various points in Fedora's history, it has negotiated Corporate Contributor Agreements as "one-off" agreements. All of these agreements pre-date the switch to the Fedora Project Contributor Agreement. It is hoped that all of these agreements can be obsoleted by the Fedora Project Contributor Agreement.
If you feel that for some reason, your corporation/employer is unable or unwilling to permit its employees to agree to the Fedora Project Contributor Agreement as individual contributors, please contact legal@fedoraproject.org with details and we will see if it is possible to negotiate a separate Corporate Contributor Agreement.
Dell
Dell employees who have been added to "cla_dell" are subject to this agreement, which Dell agreed to.
The Fedora Project Corporate Contributor License Agreement Thank you for your interest in The Fedora Project (the "Project"). In order to clarify the intellectual property license granted with Contributions from any person or entity, Red Hat, Inc. ("Red Hat"), as maintainer of the Project, must have a Contributor License Agreement (CLA) on file that has been signed by each Contributor, indicating agreement to the license terms below. This license is for Your protection as a Contributor as well as the protection of the Project and its users; it does not change your rights to use your own Contributions for any other purpose. If you have not already done so, please complete an original signed Agreement. Use black ink, and hand-print or type the items other than the signature. Your "Contributions" means your present and future contributions of object code, source code and documentation to the Project, which are intentionally submitted with authorization from you or your authorized employee to the Fedora Project, excluding any submissions that are conspicuously marked or otherwise designated in writing by you as "Not a Contribution." You shall provide a list of designated individuals ("List members")who may submit Contributions on your behalf. You agree and acknowledge that the designated individuals will be the only authorized employees from your company to submit Contributions. List members may add or remove designated individuals to/from the list. 2. You hereby grant to the Fedora Project a non-exclusive, irrevocable, worldwide, no-charge, transferable copyright license to use, execute, prepare derivative works of, and distribute (internally and externally, in object code and, if included in your Contributions, source code form) your Contributions. Except for the rights granted to the Fedora Project in this paragraph, you reserve all right, title and interest in and to your Contributions. 3. You represent that you are legally entitled to grant the above license. 4. You represent that, except as disclosed in your Contribution submission(s), each of your Contributions is your original creation. You represent that your Contribution submission(s) include complete details of any license or other restriction (including, but not limited to, related patents and trademarks) associated with any part of your Contribution(s) (including a copy of any applicable license agreement). You agree to notify the Fedora Project of any facts or circumstances of which you become aware that would make your representations in this Agreement inaccurate in any respect. 5. You are not expected to provide support for your Contributions, except to the extent you desire to provide support. If you do agree to provide support, you may do so for a fee or for free. 6. YOUR CONTRIBUTIONS ARE PROVIDED AS-IS, WITH ALL FAULTS DEFECTS AND ERRORS, AND WITHOUT WARRANTY OF ANY KIND (EITHER EXPRESS OR IMPLIED) INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF NON-INFRINGEMENT. FEDORA WILL DISTRIBUTE AND USE THE CONTRIBUTIONS AT ITS OWN RISK. 7. YOU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING WITHOUT LIMITATION, ANY LOST REVENUE, LOST PROFITS, OR CONSEQUENTIAL DAMAGES, UNDER ANY PART OF THIS AGREEMENT EVEN IF ADVISED OR AWARE OF THE POSSIBILITY OF SUCH DAMAGES. 8. This Agreement shall in no way preclude you from independently developing, having developed or acquiring or marketing any products or services nor shall it in any way preclude you from entering into any similar agreement with any other party. 9. Fedora Project is not a legal representative or agent of you, nor shall Fedora Project have the right or authority to create or incur any liability or any obligation of any kind, express or implied, against, or in the name of, or on behalf of you. 10. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, U.S.A. without regards for its rules of conflict of laws, as if this Agreement was executed in and fully performed within the State of Delaware. Both parties hereby waive any right to a trial by jury relating to any dispute arising under or in connection with this Agreement.
